1. Agreement and Service
These Terms of Service ("Terms") govern your access to and use of CloserKit's website, account registration, and software services (collectively, the "Services"). The Services are provided by CloserKit LLC ("CloserKit," "we," "us," or "our"), a Pennsylvania limited liability company. By creating an account and affirmatively accepting these Terms, you agree to be bound by them. If you accept on behalf of an organization, you represent that you have authority to bind that organization.
CloserKit provides software for independent insurance professionals to organize permitted lead information, manage calling workflows and appointments, maintain business records, and review activity and performance information. The Services are subject to applicable account permissions, configurations, and service availability. CloserKit is not an insurance company, insurance underwriter, lead seller, licensing authority, or guarantor of sales results.
2. Eligibility and account security
Accounts are intended for persons 18 or older who are independent life insurance agents or other authorized insurance professionals. Users must hold any licenses, appointments and permissions required for their activities, provide accurate account details and protect credentials. NPN is self-reported and is not independently verified during onboarding. Users are responsible for account activity except to the extent arising from CloserKit's own legally actionable conduct. No unauthorized account sharing.
3. Agent-supplied data and professional conduct
Users must have lawful authority to collect, import, process and use leads, policyholder information and related records. Buying a lead does not establish permission to call that person. Users are responsible for relevant disclosures, permission, accuracy, opt-outs, suppression and lawful use. Agent-entered carrier/policy information does not constitute carrier verification. CloserKit may restrict illegal, deceptive, abusive or unauthorized use.
4. Calling and recording
Users must comply with applicable federal and state telemarketing, privacy, Do Not Call and recording laws. Product controls do not independently establish legal compliance. Recording, where enabled, requires legally sufficient permission; users must not make false participant-consent attestations. Recording audio and call history have different retention lifecycles. Recording audio is retained for a default of 12 months from the confirmed start of the recording, with eligible earlier deletion and lawful holds.
5. Free Access
An eligible account may begin with Free Access, no credit card required to sign up. Free Access ends on the earlier of: (a) 30 days from successful provisioning of the first CloserKit calling number; or (b) 1,500 combined connected minutes. The first CloserKit calling number is included. Separately authorized optional additional-number services may incur charges during Free Access. Expiration of Free Access does not automatically establish a paid subscription.
6. Paid subscription and authorized charges
The recurring price is $169/month, including 2,000 combined connected minutes per billing cycle. Eligible authorized additional connected minutes are $0.029/minute; additional calling numbers are $3/month per number. Unused included minutes do not roll over. A subscription or scheduled paid continuation must be affirmatively authorized, with the amount, renewal timing and applicable charges disclosed before commitment. A scheduled subscription's first recurring charge is attempted when Free Access ends, not when the user schedules it. Future renewals follow the disclosed schedule until cancelled. Taxes and any other fees are handled as legally required and actually authorized.
7. Cancellation
Users may cancel paid subscriptions at any time without a separate cancellation penalty. Cancellation ordinarily takes effect at the end of the current paid billing period and prevents future subscription renewals. Once cancellation is scheduled, new connected-minute overage is disabled. Paid operating access ends at the earlier of the current billing period's end or exhaustion of the remaining included 2,000 connected minutes for that period. Charges properly incurred before cancellation remain payable. Cancellation does not itself close an account or delete historical data. Phone numbers and recordings follow their separate retention and lifecycle rules.
8. Refunds
Subscription fees are generally nonrefundable, and mid-cycle cancellation does not normally create a prorated refund. We will investigate and correct duplicate, erroneous or unauthorized charges as warranted or required by law. Requests concerning renewal charges or significant service disruptions may be reviewed for discretionary credits/refunds. Nothing here limits nonwaivable refund or payment-dispute rights.
9. Access after paid entitlement ends
After paid operating access ends, users generally retain limited read-only access to existing leads, batches, notes, activity history, appointments, My Book records, and supported historical Analytics. Access to recording audio remains subject to separate recording-retention rules. Creating or importing leads, making outbound calls, recording new business activity, and other production actions require an active entitlement. Historical records are not automatically deleted solely because a subscription ends, but continued availability is subject to applicable retention procedures, legal obligations, security requirements, and permitted deletion. Reactivation restores only resources that remain available; released phone numbers and deleted recording audio are not guaranteed to be recoverable.
10. Privacy requests and closure
Users may submit applicable access, correction, deletion and account-closure requests to privacy@closerkit.io. Reasonable identity/authority verification, legal rights, exceptions and defensible retention limits apply. CloserKit does not currently offer a self-service delete-account button or one-click all-data export. Agent-provided contact information may require coordination with the agent who controls its use. See the Privacy Policy.
11. Acceptable use and suspension
Users must not commit fraud, infringe others' rights, send unlawful communications, upload unlawfully obtained data, bypass security/billing restrictions, interfere with services or provide unauthorized access. CloserKit may proportionately restrict accounts or capabilities for material violations, security threats, unlawful activity or legal/provider demands. Notice and a reasonable path to review will be offered where practical; immediate action may be necessary for serious threats. Suspension does not automatically delete records and does not automatically require a refund. Payment-failure access treatment must match verified Billing rules.
12. Availability and results
CloserKit will make reasonable reliability efforts but does not promise uninterrupted service, error-free operation, a numerical uptime commitment, or any sales/commission result. Maintenance and third-party interruptions may affect service. Reasonable planned-maintenance notice will be provided where practical. No automatic outage credits are promised beyond law and B2.
13. Rights in information and software
As between agent and CloserKit, agents retain rights they lawfully hold in supplied business records, subject to individuals' own privacy rights. Agents authorize CloserKit and appropriately contracted providers to host, transmit, process and protect those records as necessary to provide and maintain services and for purposes disclosed in the Privacy Policy. CloserKit/licensors retain intellectual-property rights in software and brand. Users may not improperly copy, reverse-engineer, redistribute or exploit protected software except where law permits.
14. Service dependencies
CloserKit's Services depend on external infrastructure and communications service providers. Availability, technical limits, legal eligibility and applicable provider restrictions may affect certain features. This agreement presents the customer-facing service as CloserKit's offering; it does not require the product interface to expose individual infrastructure-brand names. CloserKit remains responsible for its own nonwaivable legal duties.
15. Disclaimers and Limitation of Liability
CloserKit provides software tools to support agents' business workflows. We do not guarantee that use of the Services will produce sales, commissions, appointments, lead quality, insurance-carrier approvals, or particular business outcomes. Except for warranties that cannot lawfully be excluded, the Services are provided on an "as available" basis, without a guarantee of uninterrupted or error-free operation.
To the extent permitted by applicable law, neither CloserKit nor its service providers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business opportunities, or loss of goodwill arising out of or relating to the Services, even if advised of the possibility of such damages.
To the extent permitted by applicable law, CloserKit's total aggregate liability for claims arising out of or relating to the Services will not exceed the total subscription and usage fees actually paid by you to CloserKit during the twelve (12) months immediately preceding the event giving rise to the first claim.
These limitations do not apply to liability that applicable law prohibits us from excluding or limiting. They also do not limit remedies for CloserKit's fraud, willful misconduct, or gross negligence to the extent such limits are prohibited by applicable law. Nothing in these Terms limits rights or remedies that cannot legally be waived, including applicable privacy, data-security, or consumer-protection rights.
16. Disputes and Governing Law
If you have a concern about the Services, please contact CloserKit so we can try to resolve it directly and in good faith. This informal process does not prevent either party from exercising rights or seeking relief that cannot lawfully be delayed or waived.
Except where applicable law requires otherwise, these Terms and disputes arising out of or relating to them are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules.
Any lawsuit arising out of or relating to these Terms must be brought in a state or federal court of competent jurisdiction in Pennsylvania, unless applicable law requires another forum. Each party consents to the personal jurisdiction of those courts to the extent permitted by law. Nothing here requires arbitration or waives any right to participate in a class action.
17. Changes and pricing notices
We will version the Terms and provide generally at least 30 days' advance notice of material contractual changes where lawful and feasible, subject to justified urgent security/legal exceptions. Material recurring-price increases for existing subscribers receive at least 30 days' notice unless more is required by law; no retroactive increases. Users may cancel before the increase takes effect. Affirmative assent/payment authorization is required when law requires it.
18. General Provisions and Contact
Entire agreement. These Terms, together with any additional service-specific terms expressly accepted by you and the Privacy Policy to the extent it describes our information practices, constitute the agreement governing your use of the Services. If an additional accepted agreement expressly controls a particular service, that agreement controls for that service to the extent of a conflict.
Severability. If a provision of these Terms is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.
No waiver. A failure or delay by either party to enforce a provision does not waive the right to enforce it later.
Assignment. You may not transfer your account or assign these Terms without CloserKit's prior written consent, except where applicable law provides otherwise. CloserKit may assign these Terms in connection with a merger, reorganization, or transfer of substantially all relevant business assets, subject to applicable law and the Privacy Policy.
Notices. We may provide notices about your account or these Terms through the email address associated with your account or by a reasonably conspicuous notice in the Services, as permitted by law. You are responsible for keeping your account email address current. For questions or written notices to CloserKit, contact privacy@closerkit.io. This email address is not designated for service of legal process; formal service must comply with applicable law.
